2) Acceptance of the Terms

By accessing or using the Service, you (the “User”) agree to be bound by these Terms & Conditions (“Terms”) and our Privacy Notice.

If you do not agree, you must not use the Service.

Use of the Service constitutes acceptance of the current Terms.

3) Description of the Service

WHITESHIP is a SaaS B2B platform that enables authorized users to monitor and manage brand reputation across the public internet and conversational AI systems (LLMs). The Service provides dashboards, alerts, and analytics — including sentiment and GEO-adjacent insights — designed solely for reputation monitoring purposes.

4) Beta Access (if applicable)

The Service may contain bugs or errors; availability and performance are not guaranteed.
Features may change or be removed without notice; data may be reset.
Support and SLAs may be limited or unavailable.

5) Accounts & User Responsibilities

Provide accurate registration details and keep them current.
Maintain the confidentiality of your credentials and all activity under your account.
Use the Service only in compliance with applicable laws and these Terms.
Not share, sell, or transfer your account or access tokens to any third party.
Promptly notify us of any security incident or unauthorized use.

6) Data Categories & Roles

To clarify how information is handled, the Service involves three principal categories:

(a) Account Data (Personal Data): name, surname, and email address of the User. This is the only personal data required for accounts and support.
(b) Customer Content: information that Users actively submit to the Service (e.g., brand names to track, watchlists, configuration). We do not request or intend to store confidential company information (such as trade secrets or sensitive internal documents). If confidential information is inadvertently submitted, you agree to notify us; we will delete it upon request.
(c) Platform Data (owned by WHITESHIP): compiled and curated datasets, indexes, scores, metrics, model prompts and outputs, analyses, dashboards, and any derivatives created or aggregated by the Service, including reputation signals sourced from publicly available information and AI systems.

Unless otherwise stated below, EPISTEM SAS is the controller of Account Data for GDPR purposes. For publicly sourced reputation signals and Platform Data, EPISTEM SAS acts as an independent controller.

7) Ownership & License to Use

7.1 Platform & IP Ownership

The Service, all associated software, interfaces, methodologies, documentation, and all Platform Data are and remain the exclusive property of WHITESHIP / EPISTEM SAS. No ownership rights are transferred to the User under these Terms.

7.2 Limited License to Users

Subject to these Terms and timely payment of any applicable fees, WHITESHIP grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Platform Data solely for internal business use limited to brand/AI reputation monitoring, and strictly in accordance with Section 10 (Prohibited Uses). Except where a feature expressly allows export, you may not copy, download, bulk-export, or reproduce Platform Data.

7.3 Customer Content

You retain whatever rights you hold in your Customer Content. You grant WHITESHIP a limited license to host, process, display, and use Customer Content only as necessary to provide and secure the Service, troubleshoot issues, and comply with law. We do not sell Customer Content or use it to train unrelated models.

8) Privacy, GDPR & Data Subject Rights

We comply with French law and the EU General Data Protection Regulation (GDPR).
Data minimization: we only require name, surname, and email for account purposes.
No sale of personal data: we do not sell or resell any data.
Marketing: by using the Service, you consent to our use of your email address for WHITESHIP-related product communications and marketing limited to our platform. You can opt out at any time.
Access/Deletion: you may exercise rights of access, information, rectification, and deletion regarding your personal data by contacting contact@deeplayer.ai.
Storage & retention: account data are retained only as necessary to operate the Service and meet legal obligations.
Security: we implement reasonable administrative, technical, and organizational measures, though no method of storage is 100% secure.

We do not store confidential enterprise information. The Service processes only public-source data and minimal account information.

9) Email Communications

By creating an account or using the Service, you agree that we may send you service, security, and account notices, as well as platform-only marketing communications.

We do not share your email with third parties for their own marketing.

You can opt out of marketing at any time.

10) Prohibited Uses (Anti-Replication & Security)

You shall not, and shall not permit any third party to:

Replicate, reproduce, clone, or create derivative works of the Service or attempt to build a competing product.
Scrape, spider, crawl, mine, harvest, or bulk-export any Platform Data except through explicit export features.
Reverse engineer, decompile, disassemble, or attempt to derive source code, models, or datasets.
Use Platform Data or outputs to train, fine-tune, or evaluate AI models for purposes other than authorized reputation monitoring.
Publish, resell, sublicense, or redistribute the Service or its data to third parties.
Use the Service for illegal, defamatory, deceptive, or harmful activity, or in a way that interferes with Service operation.
Remove or alter proprietary notices.

We may monitor use for compliance and may suspend or terminate access for suspected violations.

11) Third-Party Services & Data Sources

The Service may interoperate with or rely on third-party providers (hosting, LLMs, analytics, public data sources).

We are not responsible for their availability or accuracy.

Your use of such services is subject to their own terms and privacy policies.

12) Publicity & Use of Customer Logo

If your organization uses the Service, you grant WHITESHIP permission to reference your company name and display your logo on the WHITESHIP website and customer lists.

You may opt out at any time by emailing contact@deeplayer.ai; we will remove your logo within a reasonable period.

13) Service Changes & Availability

We may modify or discontinue features at any time.

We aim for high availability but do not guarantee uninterrupted operation.

Planned maintenance and emergency downtime may occur.

14) Fees, Payment & Taxes

If fees apply, you agree to pay them and any associated taxes (excluding our income taxes). Late or failed payments may result in suspension or termination of access. Unless required by law, all fees are non-refundable.

14.1 Free Trial & Refund Policy

WHITESHIP may offer a limited free trial period.

After the trial, a paid subscription may begin automatically unless the User cancels before the trial period ends. By starting a free trial, you authorize WHITESHIP to charge your selected payment method at the end of the trial unless canceled in time.

No refunds are available once the payment for a paid plan has been processed. It is the User’s responsibility to cancel the subscription before the end of the trial period if they do not wish to continue.

15) Warranties & Disclaimers

The Service and Platform Data are provided “as is” and “as available,” without warranties of any kind, express or implied.

AI and analytics outputs are probabilistic and may contain errors.

They are for decision-support only and should not be the sole basis for legal, compliance, or high-risk decisions.

You are solely responsible for your use of the Service.

16) Limitation of Liability

To the maximum extent permitted by law:

Indirect damages excluded. Neither party is liable for indirect or consequential damages.
Cap. WHITESHIP’s total aggregate liability is limited to the greater of (i) amounts paid in the 12 months preceding the event or (ii) € 100 if the Service is free or in beta.

These limitations apply regardless of the theory of liability.

17) Indemnification

You agree to indemnify and hold harmless EPISTEM SAS, its affiliates, and personnel from any claims, damages, or expenses (including legal fees) arising from your Customer Content, your use of the Service, or your breach of these Terms.

18) Term, Suspension & Termination

These Terms apply from your first access and continue until terminated. We may suspend or terminate access for breach, legal, or security reasons. Upon termination, your license ends and you must cease all use of the Service and Platform Data, except where export is explicitly allowed.

19) Changes to the Terms

We may update these Terms periodically. Material changes will be communicated via the Service or email. Continued use after updates constitutes acceptance.

20) Governing Law & Jurisdiction

These Terms are governed by the laws of France. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Paris, France. Proceedings may be conducted in French or English.

21) Compliance, Export & Sanctions

You represent that you are not barred from using the Service under applicable export or sanctions laws and that you will not use the Service in any restricted territory or for any prohibited purpose.

22) Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (force majeure), including outages of third-party platforms or networks.

23) Miscellaneous

Entire Agreement: these Terms constitute the entire agreement regarding the Service.
Severability: if any provision is unenforceable, the remainder remains valid.
Assignment: you may not assign without our written consent. We may assign to an affiliate or as part of a merger.
No Waiver: failure to enforce a provision is not a waiver.
